Terms and Conditions of Sale

These General Terms and Conditions of Sale govern purchases made through the QUADRI S.r.l. website.

English shop: submitting the English basket or quotation form is an enquiry, not an order or payment commitment. QUADRI will confirm product availability, applicable taxes, shipping costs and the final quotation separately. The provisions below concerning orders and payments apply when a purchase is subsequently agreed.

1. Seller and scope

These Terms apply to purchases by Consumers and Business Customers, except where different provisions are expressly stated. “Consumer” means a natural person buying for purposes outside their trade, business, craft or profession. “Business Customer” means a natural or legal person buying in the course of their trade, business, craft or profession. “Customer” means either a Consumer or a Business Customer.

Matters not expressly covered by these Terms are governed by Italian law and, for Consumers, Legislative Decree 206/2005 (the Italian Consumer Code) and other applicable mandatory provisions.

2. Product information and characteristics

Essential product characteristics appear on the relevant product pages. Photographs, images, illustrations, settings and colours are illustrative and may not perfectly reproduce the actual product. Dimensions, weights and technical specifications are subject to normal material and manufacturing tolerances unless a particular characteristic is expressly stated to be essential.

QUADRI also manufactures products in house. Minor visual or dimensional differences may therefore occur between production batches, provided they do not affect functionality, safety or compliance with the agreed characteristics. QUADRI may make technical or construction changes that do not substantially alter a product's characteristics, functionality, safety or intended use.

3. Orders and formation of the contract

The Customer selects products, adds them to the basket and follows the ordering procedure shown on the website. Before submitting an order, the Customer must check products, quantities, prices, additional charges, billing and delivery details and all other information entered.

Submitting an order that entails an obligation to pay requires the Customer to pay the corresponding amount. An automatic acknowledgement confirms receipt by the system but does not necessarily constitute acceptance by QUADRI. The contract is formed when QUADRI communicates acceptance or fulfils the order, unless a different method is expressly stated during the purchasing process.

QUADRI may refuse or cancel an order, refunding any amounts paid for the unfulfilled part, if a product is unavailable, there is a manifest error in price or characteristics, information is insufficient to fulfil the order, delivery is impossible, there is a justified suspicion of fraud, or the Customer has previously committed serious breaches. If only some products are available, QUADRI may contact the Customer to agree partial fulfilment or full or partial cancellation.

4. Prices, VAT and payment

Applicable prices are those shown on the website when the order is submitted, except in the case of a manifest clerical error. Before the order is concluded, the Customer is informed of product prices, applicable VAT, shipping charges and any further costs as required by law.

The VAT treatment may vary according to customer type, delivery location and applicable tax law. Payment can be made using the methods available at the time of purchase. If payment is incomplete, declined or later reversed for reasons not attributable to QUADRI, QUADRI may suspend fulfilment.

5. Availability and fulfilment times

Availability shown on the website relates to the time of viewing and may change, including because of concurrent orders. For products not immediately available, made to order or customised, QUADRI may provide an estimated production or fulfilment date.

Unless expressly stated otherwise, preparation and delivery times are estimates and may vary according to availability, production and destination. Consumers' mandatory statutory rights remain unaffected.

6. Shipping and delivery

Goods are delivered to the address supplied in the order. The Customer is responsible for providing a complete, accurate address and the information necessary for delivery. Shipping charges, where applicable, are shown during purchase or otherwise communicated before the contract is concluded. Transport times are normally estimates based on available information and carrier information.

For Consumers, the risk of loss or damage passes when the Consumer, or a nominated third party other than the carrier, takes physical possession of the goods, subject to other cases provided by law.

On delivery, Customers should check the number of packages and the condition of the packaging. If packaging is damaged, open, deformed, incomplete or otherwise visibly abnormal, the Customer is advised to have the carrier record a specific reservation describing the issue. Failure to record a reservation does not limit Consumers' mandatory legal rights.

7. International shipping, customs and duties

Shipments outside the European Union may be subject to customs duties, import taxes, clearance fees and other destination-country charges. Unless stated otherwise before the order is concluded, these charges are excluded from product prices and are payable by the recipient where required by applicable law.

The Customer must supply information and documents needed for customs procedures. If the recipient refuses the goods, fails to clear them or does not provide the necessary cooperation, resulting storage, return or other charges may be charged to the Customer within the limits permitted by law. For particular international supplies, QUADRI may agree delivery terms under the Incoterms expressly stated in the quotation, order confirmation or other contractual documents.

8. Consumer right of withdrawal

This section applies only to Consumers. A Consumer buying at a distance may withdraw without giving a reason within 14 days of the day on which the Consumer, or a nominated third party other than the carrier, takes physical possession of the goods. Where several goods in one order are delivered separately, the period starts when the last item is received.

Before the deadline, the Consumer must inform QUADRI of the decision to withdraw through an explicit statement addressed to QUADRI S.r.l., Via Gozzano snc, 04012 Cisterna di Latina (LT), Italy; email customercare@quadrisrl.com; telephone +39 06 9682295. The model form in section 9 may be used but is not mandatory.

Goods must be returned without undue delay and no later than 14 days after notice of withdrawal. Unless QUADRI states otherwise, the Consumer bears the direct return costs. The Consumer is liable only for any diminished value caused by handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.

QUADRI will reimburse payments for the withdrawn purchase, including delivery costs within statutory limits, without undue delay and no later than 14 days after being informed of the withdrawal. Extra costs arising from the Consumer's choice of a more expensive delivery method than QUADRI's least expensive standard option are not reimbursed.

Where permitted by law, QUADRI may withhold reimbursement until it receives the goods or evidence of their return, whichever comes first. Reimbursement uses the original payment method unless otherwise agreed with the Consumer and provided no reimbursement fees are incurred.

Exception for bespoke or customised products

Withdrawal is excluded in the cases provided by Article 59 of the Italian Consumer Code, particularly goods made to the consumer's specifications or clearly personalised. Manufacturing after receipt of an order does not by itself exclude withdrawal: the product must actually be bespoke or clearly personalised according to the Customer's requirements.

The Consumer Code withdrawal right does not apply to Business Customer purchases unless expressly agreed otherwise with QUADRI.

10. Statutory guarantee for Consumers

Consumers benefit from the statutory conformity guarantee under Articles 128 onwards of Legislative Decree 206/2005, on the terms established by current law. QUADRI is liable for lack of conformity existing on delivery and becoming apparent within the statutory period.

Where goods lack conformity, the Consumer has the remedies provided by the Consumer Code and, where the conditions are met, may have conformity restored by repair or replacement, or obtain a proportionate price reduction or termination of the contract as provided by law. Exercising the statutory guarantee is free of charge.

Report a conformity issue to customercare@quadrisrl.com or +39 06 9682295, providing the order number, product and a description of the problem where possible. This guarantee does not limit any other mandatory Consumer rights.

11. Warranty for Business Customers

Business purchases are subject to the Italian Civil Code provisions on defects in sold goods, unless different terms are expressly agreed in writing. Business Customers must inspect goods received and report defects within the applicable statutory deadlines.

Defects caused by misuse, use outside the product's intended purpose, normal wear, unauthorised changes, incorrect installation or improper maintenance are excluded where attributable to the Customer or third parties. QUADRI's liabilities under mandatory law remain unaffected.

12. Product use and liability

Customers must use products in accordance with their intended purpose, technical characteristics and any instructions supplied. QUADRI is not liable for damage caused by misuse, unauthorised modifications, incorrect installation or maintenance, or use in conditions incompatible with declared characteristics where these circumstances are not attributable to QUADRI.

Nothing in these Terms excludes or limits QUADRI's liability where such exclusion or limitation is prohibited by law. All mandatory Consumer rights remain unaffected.

13. Customised products and work to order

If the Customer requests non-standard dimensions, configurations, manufacturing work, accessories or other characteristics, QUADRI may require confirmation of technical specifications before production begins. The Customer is responsible for the accuracy of measurements, drawings and specifications supplied.

Once the Customer has approved a customised product's characteristics and production has begun, subsequent changes may entail additional costs and different delivery times. The statutory withdrawal exception for goods made to specifications or clearly personalised continues to apply to Consumers.

14. Coupons, promotional codes and promotions

Coupons, promotional codes, discounts and promotions are subject to the conditions of the relevant offer. Unless stated otherwise, codes must be used within their validity period and entered before the order is concluded; they cannot be exchanged for cash or combined with other codes or promotions; and they may be limited to particular products, categories or quantities. Before concluding an order, the Customer should check that any promotion has been applied correctly.

15. Intellectual and industrial property

Trademarks, trade names, photographs, drawings, texts, technical content and other website elements belong to QUADRI or are used under a lawful entitlement. They may not be reproduced, copied or used without authorisation except as permitted by law.

Some QUADRI products, components, technical solutions, designs or trade names may be protected by patents, utility models, designs, trademarks or other industrial property rights. Purchasing a product does not transfer related intellectual or industrial property rights to the Customer.

16. Force majeure

QUADRI is not liable for delays or non-performance caused by events beyond reasonable control, including natural disasters, fires, wars, government measures, exceptional transport or supply interruptions, strikes, extraordinary unavailability of raw materials or other force majeure events. Where possible, QUADRI will inform the Customer and take reasonable steps to limit the consequences. Mandatory Consumer rights remain unaffected.

17. Personal data protection

Customer data is processed under applicable personal data protection law, including Regulation (EU) 2016/679. See the website's Privacy Policy for purposes, legal bases, methods, retention periods and data subject rights.

18. Support, communications and complaints

QUADRI will make reasonable efforts to respond within an appropriate time.

19. Applicable law and jurisdiction

These Terms and sales contracts concluded through the website are governed by Italian law, subject to any applicable mandatory provisions.

Consumers

Disputes with Consumers fall within the jurisdiction determined by mandatory applicable law, particularly the Consumer Code. Available statutory out-of-court dispute resolution mechanisms remain unaffected.

Business Customers

Disputes arising from or relating to Business Customer purchases are subject to the exclusive jurisdiction of the courts of Latina, unless mandatory law provides otherwise.

20. Final provisions

If any individual provision is void, invalid or ineffective, the remaining provisions remain valid and effective. QUADRI may amend these Terms. New terms apply to orders concluded after publication, unless mandatory law provides otherwise. Each order is governed by the Terms in force when the contract is concluded.
